1. Agreement to Terms

By accessing or using InVitroManager, you agree to be bound by these Terms and Conditions. If you do not agree to all these terms, you may not access or use our services.

2. Description of Service

InVitroManager is a plant inventory management platform designed for tissue culture laboratories, nurseries, and plant production facilities. Our services include:

  • Plant lot tracking and inventory management
  • Production work logging and reporting
  • Document parsing and data entry tools
  • Label generation and printing
  • Production planning and analytics
  • Multi-user organization management

3. User Accounts

3.1 Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the security of your password
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

3.3 Organization Accounts

If you create or join an organization on InVitroManager:

  • Organization owners have administrative control over organization data and members.
  • Data entered within an organization is shared among authorized members based on their assigned roles.
  • Organization owners are responsible for managing user access and permissions.
  • The platform uses per-organization data isolation (a separate database schema for each organization). Data entered into one organization is not technically accessible to members of another organization.
  • Fields you designate as proprietary — including media recipe formulations — are encrypted in your browser before they reach our database. We cannot read their contents and they do not appear in plaintext in our logs or backups.

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the service
  • Interfere with or disrupt the service or servers
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Harvest or collect user information without consent
  • Use automated systems to access the service without permission
  • Resell or redistribute the service without authorization

5. Intellectual Property

5.1 Our Property

The InVitroManager platform, including its design, features, code, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without our written consent.

5.2 Your Data

You retain ownership of the data you enter into InVitroManager. By using our service, you grant us a limited license to store, process, and display your data solely for the purpose of providing our services to you.

6. Data and Privacy

Your use of InVitroManager is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our services, you consent to our data practices as described in the Privacy Policy.

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with reasonable notice when possible
  • Experience occasional downtime due to technical issues
  • Modify or discontinue features with appropriate notice

We recommend maintaining regular backups of your critical data.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The service will meet all your requirements
  • The service will be uninterrupted, timely, or error-free
  • Results obtained from the service will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services

Our total liability for any claim arising from these terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless InVitroManager and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any third-party rights
  • Content you submit to the platform

11. Termination

We may suspend or terminate your access to the service at any time for:

  • Violation of these terms
  • Conduct that we determine is harmful to other users or the service
  • Extended periods of inactivity
  • Non-payment of applicable fees

You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately.
